Exclusion of the Press and Public

“Under Section 100(A)(4) of the Local Government Act 1972, to exclude the press and public from the meeting during the discussion on the following item as it may involve the likely disclosure of exempt information as defined in Schedule 12A (Category 16) of the said Act.”

Governance Review of the Isle of Anglesey Charitable Trust

To submit a report by the Secretary in relation to the above.

Minutes:

Submitted – the report of the Secretary seeking approval of the constitution for the Charitable Incorporated Organisation (CIO). The Charitable Trust approved the creation of a CIO at its meeting held on 15th December, 2016 and associated necessary actions.  The Secretary wished to amend to Welsh version of the report which should read at 2.6 ‘Bod YEYM yn dirprwy i Ysgrifennydd yr Ymddiriedolaeth yr holl hawliau …..’ in place of ‘Bod YEYM yn dirprwy i Drysorydd yr Ymddiriedolaeth….’.

 

A presentation was afforded to the Charitable Trust by representatives from Browne Jacabson LLP on specific details, options and legal advice with regard to the constitution for the CIO.

 

The Trust deliberated in detail the constitution of the CIO and requested Browne Jacobsen to further review the definition of County of Ynys Môn and that it be clear that the Isle of Anglesey and Holy Island are to benefit from the charitable purpose of the Trust. 

 

It was RESOLVED :-

 

·           To approve the constitution of ‘Cymdeithas Elusennol Ynys Môn/Isle of Anglesey Charitable Trust’ and delegates to the Trust Secretary the right to make any necessary amendments to the wording of the constitution arising from discussions at this meeting and having first taken advice from Browne Jacobson;

·           To agree to the creation of the CIO to be called ‘Cymdeithas Elusennol Ynys Môn/The Isle of Anglesey Charitable Association’ and that it be registered with the Charity Commission;

·           That Browne Jacobson be furnished with such information as may be required to complete the application to register the CIO with the Charity Commission;

·           To delegate to the Trust Secretary the right to approve and lodge the formal application to the Charity Commission for the registration of the CIO;

·           To transfer the assets of the Trust to the CIO once it is established and delegates to the Trust Treasurer the power to take all decisions and implement all administrative requirements to achieve this;

·           To delegate to the Trust Secretary all other rights, powers and decision making functions on behalf of the Isle of Anglesey Charitable Trust in order to ensure transition to the CIO – to include any decision on an ancillary or incidental matter.  The Trust Secretary may consult with the members of the established Panel comprising of elected members and, also, with such Officers as the Secretary may choose before exercising any such rights, powers or functions.
